Terms of Service

Vesspr is an artificial intelligence-powered conversational companion service delivered through third-party messaging platforms. It is designed to maintain persistent conversational context, initiate contact proactively, and provide ongoing social and emotional engagement.

IMPORTANT: Please read carefully. Vesspr is NOT a medical, psychological, psychiatric, or clinical service of any kind. Vesspr is NOT a licensed therapist, counsellor, psychologist, or healthcare provider. Vesspr is NOT a substitute for professional mental health treatment. Vesspr is NOT a crisis intervention service.

Interactions with Vesspr do not constitute a therapeutic relationship of any kind. In any mental health emergency, please contact emergency services or a crisis helpline immediately.

In particular, Vesspr:

• •Does not provide diagnoses, prescriptions, or clinical assessments of any kind;
• •Does not operate as a romantic or sexual companion service;
• •Does not provide legal, financial, or medical advice;
• •Does not replace human connection, professional therapy, or clinical support;
• •Does not guarantee the accuracy or appropriateness of any AI-generated content;
• •Is not a productivity tool, calendar assistant, or task management service.

You acknowledge that all responses generated by Vesspr are produced by artificial intelligence systems and may not always be accurate, appropriate, or suitable for your specific situation. AI systems can make errors, misinterpret context, or produce outputs that are inconsistent or unexpected. Karooli.ai does not warrant that AI-generated content is factually accurate, complete, or fit for any particular purpose.

To use Vesspr, you must complete the onboarding process through our web interface and link your account to a supported messaging platform (currently WhatsApp and/or Telegram). You agree to provide accurate, current, and complete information during registration, and to keep this information updated.

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You agree to:

• •Not share your account credentials with any third party;
• •Not permit any other person to use your account;
• •Notify us immediately at support@karooli.ai if you suspect any unauthorised access to your account.

Karooli.ai is not liable for any loss or damage arising from your failure to maintain account security.

Each user may maintain only one active Vesspr account. Creating multiple accounts to circumvent usage limits, free trial restrictions, or account suspensions is a material breach of these Terms.

Vesspr offers the following service tiers:

• •Free Tier: Access to the onboarding experience and a limited trial period as specified at the time of registration. Memory, proactive initiation, and voice features are not available on the Free Tier. The Free Tier is available at Karooli.ai's discretion and may be modified or discontinued at any time.
• •Core Subscription: Monthly or annual subscription providing full access to memory, proactive initiation, text-based conversation, and daily/weekly reflections as described in the Service documentation.
• •Premium Subscription: Monthly or annual subscription providing all Core features plus voice notes, multiple archetype access, advanced memory editor, and additional features as described in the Service documentation.

Current pricing is published on our website and may be updated from time to time with notice as described in Section 5.6.

Subscriptions are billed on a recurring basis (monthly or annually as selected) using the payment method you provide at checkout. All fees are exclusive of applicable taxes, which will be added where required by law.

By providing a payment method, you authorise Karooli.ai (or its authorised payment processor) to charge the applicable fees on each billing date. You represent that you are authorised to use the payment method you provide.

Karooli.ai may offer a free trial period for paid subscription tiers. If a payment method is required to start the free trial, you will not be charged until the trial period ends. You may cancel before the trial ends to avoid any charge. Karooli.ai reserves the right to limit free trial eligibility at its discretion.

You may cancel your subscription at any time through your account settings or by contacting support@karooli.ai. Upon cancellation:

• •Your subscription will remain active until the end of the current billing period;
• •No further charges will be made after the current period ends;
• •Access to paid features will cease at the end of the billing period;
• •Your memory data will be retained for 30 days post-cancellation, after which it will be permanently deleted unless you request earlier deletion.

All fees are non-refundable except as required by applicable law or as expressly stated in our Refund Policy. If you believe you have been charged in error, contact billing@karooli.ai within 14 days of the charge in question. Refund eligibility will be assessed on a case-by-case basis.

Residents of the European Union and other jurisdictions with statutory cancellation rights may exercise their right of withdrawal within the legally prescribed period. Exercising this right with respect to digital content that has already been delivered may limit the refund available.

Karooli.ai reserves the right to change subscription prices at any time. We will notify you of price changes at least 30 days in advance via email or in-app notification. Your continued use of Vesspr after the price change takes effect constitutes acceptance of the new price.

If a payment fails, we will attempt to process it again in accordance with our payment processor's procedures. If payment remains outstanding for more than 7 days, we may suspend or terminate your access to the Service without further notice.

You may use Vesspr solely for your own personal, non-commercial use in accordance with these Terms. You agree to use Vesspr in good faith and in the spirit for which it is designed.

You agree not to:

• •Use Vesspr if you are under 18 years of age;
• •Use Vesspr for any commercial purpose, including reselling access to the Service;
• •Attempt to extract, reverse engineer, decompile, or otherwise obtain the source code, algorithms, or underlying systems of Vesspr;
• •Use automated scripts, bots, or other automated means to access or interact with the Service;
• •Attempt to manipulate Vesspr into producing content that violates these Terms, including by jailbreaking, prompt injection, or circumventing safety guidelines;
• •Use Vesspr to generate or distribute harmful, abusive, harassing, defamatory, threatening, sexually explicit, obscene, or illegal content;
• •Attempt to elicit romantic, sexual, or explicit content from Vesspr (the Service is designed to decline such requests);
• •Use Vesspr in any manner that could interfere with, disrupt, or negatively affect the Service or its infrastructure;
• •Share, publish, or commercially exploit AI-generated conversations without Karooli.ai's written consent;
• •Use Vesspr to impersonate any person or entity;
• •Use Vesspr as a substitute for emergency mental health services or crisis intervention;
• •Use Vesspr to facilitate any illegal activity;
• •Circumvent any technical measures used by Karooli.ai to limit access.

IMPORTANT: Vesspr is not equipped to respond to mental health emergencies. If you or someone you know is in crisis, please immediately contact emergency services.

Karooli.ai is not responsible for any harm arising from your use of Vesspr in a crisis situation or in lieu of professional support.

Vesspr maintains four categories of memory, explained in detail in the Privacy Policy. In summary:

• •Profile Memory: Information you provide explicitly during onboarding (name, timezone, archetype preferences, etc.). Fully visible and editable by you.
• •Fact Memory: Facts about your life shared in conversation (relationships, goals, recurring topics). Periodically surfaced for your review and deletion.
• •Emotional Memory: Behavioural and emotional patterns observed over time (not specific facts). Informs how Vesspr engages with you. Summarised view available on request.
• •Thread Memory: Specific unresolved conversational threads flagged for follow-up. Time-limited. Viewable on request.

Karooli.ai does not obscure the fact that Vesspr maintains memory. You may at any time:

• •Request a summary of your stored memory by typing a memory review command in conversation;
• •Delete any specific memory item;
• •Pause memory capture temporarily;
• •Delete all memory associated with your account.

Instructions for these actions are available in our support documentation at support.karooli.ai.

Upon account deletion or cancellation, your memory data will be permanently deleted within 30 days. This deletion is irreversible. Please export any conversations or information you wish to retain before initiating account deletion.

All intellectual property rights in the Vesspr service, including but not limited to the software, systems, character designs, archetype frameworks, name, brand identity, and all underlying technology, are owned by or licensed to Karooli.ai. Nothing in these Terms grants you any rights in the foregoing other than the limited right to use the Service as permitted.

You retain ownership of any content you input into Vesspr ("Your Content"). By using Vesspr, you grant Karooli.ai a limited, non-exclusive, royalty-free licence to process, store, and use Your Content for the sole purpose of providing and improving the Service as described in the Privacy Policy.

You represent and warrant that Your Content does not infringe the intellectual property rights of any third party and does not violate any applicable law.

If you provide feedback, suggestions, or ideas regarding Vesspr, you grant Karooli.ai an irrevocable, perpetual, royalty-free right to use such feedback for any purpose without compensation to you.

To the fullest extent permitted by applicable law, Vesspr is provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation.

Karooli.ai does not warrant that:

• •Vesspr will be available, uninterrupted, or error-free;
• •Any AI-generated content will be accurate, appropriate, or suitable for your situation;
• •Vesspr will meet your expectations or requirements;
• •Any defects in the Service will be corrected.

Karooli.ai expressly disclaims any representation that Vesspr has therapeutic, clinical, or medical benefits. We make no claims regarding the impact of Vesspr on your mental health, emotional wellbeing, or any medical condition.

To the fullest extent permitted by applicable law, Karooli.ai, its directors, employees, agents, affiliates, and licensors shall not be liable for:

• •Any indirect, incidental, special, consequential, punitive, or exemplary damages;
• •Loss of profits, revenue, data, goodwill, or other intangible losses;
• •Damages arising from your reliance on any AI-generated content;
• •Any harm arising from your use of the Service in a mental health crisis or emergency;
• •Any loss or damage resulting from third-party platform failures or policy changes.

In no event shall Karooli.ai's total aggregate liability to you for any claim exceed the greater of: (a) the amount you paid to Karooli.ai in the 12 months preceding the claim, or (b) INR 1,000 (one thousand rupees).

Some jurisdictions do not allow the exclusion or limitation of certain damages. To the extent such exclusions or limitations are not permitted by law, they apply only to the maximum extent permitted.

You agree to indemnify, defend, and hold harmless Karooli.ai and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or relating to: (a) your use of Vesspr; (b) your breach of these Terms; (c) your violation of any applicable law; or (d) Your Content.

These Terms remain in effect for as long as you hold an account with Karooli.ai or use the Service, whichever is longer.

You may terminate these Terms at any time by cancelling your subscription and deleting your account through your account settings, or by contacting support@karooli.ai.

Karooli.ai reserves the right to suspend or terminate your account, with or without notice, if:

• •You breach these Terms in any material respect;
• •We reasonably believe your use of the Service poses a risk to other users, third parties, or Karooli.ai;
• •You engage in fraudulent, abusive, or illegal activity;
• •We discontinue the Service.

Upon termination: (a) your right to access and use the Service immediately ceases; (b) outstanding payment obligations remain due; (c) your memory data will be deleted in accordance with Section 7.3 and the Privacy Policy; (d) Sections 7.3, 8, 10, 11.4, 12, and 13 survive termination.

These Terms are governed by the laws of India, without regard to its conflict of law provisions. For users in the European Union, mandatory consumer protection provisions of the law of the EU Member State of your habitual residence also apply.

Before initiating any formal proceeding, you agree to first attempt to resolve any dispute informally by contacting legal@karooli.ai. Karooli.ai will endeavour to respond within 30 days.

Except for claims that may be brought in a small claims court, any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered in accordance with the Arbitration and Conciliation Act, 1996 (India), as amended. The seat of arbitration shall be New Delhi, India. The language of arbitration shall be English. The arbitral award shall be final and binding.

To the fullest extent permitted by applicable law, you and Karooli.ai each waive the right to participate in a class action, collective action, or representative proceeding with respect to any claim arising under these Terms.

To the extent that arbitration does not apply or for interim or injunctive relief, you submit to the exclusive jurisdiction of the courts of New Delhi, India.

Karooli.ai may modify these Terms at any time. Where required by applicable law, we will provide at least 30 days' notice of material changes via email or in-app notification. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the modified Terms.

These Terms, together with the Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and Karooli.ai with respect to the Service and supersede all prior agreements and understandings.

If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable. The remaining provisions will remain in full force and effect.

Karooli.ai's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

You may not assign or transfer your rights or obligations under these Terms without Karooli.ai's prior written consent. Karooli.ai may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

Karooli.ai shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including but not limited to natural disasters, acts of government, epidemic or pandemic conditions, internet failures, or third-party platform outages.
